These Terms of Use (“Terms”) govern your access to and use of RacknRock’s website, software, and fulfillment services (the “Services”). By using the Services, you agree to these Terms.

1. The Services

RacknRock provides ecommerce order fulfillment, warehousing and inventory management, multi-carrier shipping, and integrations with sales channels such as Walmart, Amazon, Temu, TikTok Shop, and eBay.

2. Accounts

You must provide accurate information and are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

3. Subscriptions and Billing

Paid plans are billed in advance on a recurring basis through our payment processor, Stripe. Subscriptions renew automatically until cancelled. Fees are non-refundable except where required by law. You may cancel at any time, effective at the end of the current billing period.

4. Your Products and Inventory

You represent that you own or are authorized to sell and ship the products you send to us and that they comply with all applicable laws. You are responsible for the accuracy of your product, inventory, and order information.

5. Prohibited and Restricted Items

You may not use the Services to store or ship illegal, hazardous, counterfeit, or otherwise prohibited items. We may refuse to handle any item at our discretion.

6. Acceptable Use

You agree not to misuse the Services, interfere with their operation, or attempt to access them in an unauthorized manner.

7. Shipping and Fulfillment

Delivery times are estimates provided by carriers and are not guaranteed. RacknRock is not responsible for carrier delays or for events outside our reasonable control.

8. Intellectual Property

The Services, including all software and content we provide, are owned by RacknRock and protected by applicable laws. You retain ownership of your own content and data.

9. Termination

We may suspend or terminate your access if you violate these Terms. You may stop using the Services at any time.

10. Disclaimers

The Services are provided “as is” and “as available” without warranties of any kind, to the fullest extent permitted by law.

11. Limitation of Liability

To the maximum extent permitted by law, RacknRock will not be liable for indirect, incidental, or consequential damages, and our total liability is limited to the amounts you paid us in the twelve months preceding the claim.

12. Indemnification

You agree to indemnify and hold RacknRock harmless from claims arising out of your products, your use of the Services, or your violation of these Terms.

13. Changes to These Terms

We may update these Terms from time to time. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
